We are embarking on the next stage of our customer-centric growth, driven by innovation from our talented associates and the application of cutting-edge technologies. We are seeking a skilled and motivated Director of M&A to join our dynamic team to lead Brightway’s inorganic growth strategy.

Job Summary:

The Director of M&A will play a pivotal role in Brightway’s go-forward acquisition and strategic investment initiatives. This position involves sourcing viable potential acquisition targets, conducting due diligence, completing financial modeling and valuation analyses, negotiating and executing M&A transactions, and assisting in the integration of acquired businesses.

Key Responsibilities

Lead Generation

  • Build a robust deal pipeline by creating a profile of independent insurance agency acquisition targets and developing a network of brokers, franchisees, platforms, and other referral sources.
  • Engage with potential targets to determine strategic fit with Brightway and to assess target interest and alignment.
  • Develop data-driven scorecard and processes to rank each potential acquisition opportunity objectively, considering factors like geographic attractiveness, business size, expected valuation, and book quality.

Transaction Support:

  • Assist in all phases of the M&A process, including deal sourcing, due diligence, financial modeling, valuation, execution, and integration.
  • Prepare comprehensive financial models, forecasts, and valuation analyses to support potential transactions.
  • Collaborate with cross-functional teams (legal, finance, operations, etc.) to assess transaction risks and synergies.

Due Diligence:

  • Conduct in-depth due diligence to evaluate financial performance, business operations, and potential risks of target companies.
  • Coordinate with external advisors (investment banks, consulting firms) to ensure thorough evaluation of targets.

Market Research & Analysis:

  • Conduct industry research to identify trends, competitive landscape, and potential acquisition targets.
  • Develop strategic insights and recommendations to support M&A strategy.

Deal Structuring & Negotiation:

  • Support the negotiation of key terms and conditions of M&A transactions.
  • Prepare and review transaction documentation, including term sheets, purchase agreements, and other legal documents.

Integration Planning:

  • Assist in the development and execution of integration plans to ensure smooth transition and realization of synergies post-acquisition.

Qualifications:

  • Bachelor’s degree in Finance, Business, Economics, or a related field. MBA or equivalent advanced degree preferred.
  • 5-7 years of experience in M&A, investment banking, corporate development, or related fields.
  • Insurance transaction experience preferred.
  • Willingness to be resourceful and self-supporting in building a pipeline of leads, including networking with intermediaries (bankers, brokers, consultants), attending relevant industry conferences, and cold outreach
  • Proven track record of successfully executing mergers and acquisitions
  • Extensive knowledge of the M&A process, including deal sourcing, due diligence, valuation, and negotiation
  • Strong financial modeling, valuation, and analytical skills.
  • Excellent communication, negotiation, and interpersonal skills.
  • Strong organizational skills and attention to detail.
  • Ability to work in a fast-paced, dynamic environment and manage multiple projects simultaneously.
